By accessing our website or submitting a contact form, you confirm that you have read and agree to these Terms. By proceeding with an advisory engagement after receiving a written scope agreement, you are entering into a binding contract with Muisca under these Terms.

Use of our website and services is limited to individuals who are 18 years of age or older and have the legal capacity to enter into agreements.

Muisca offers business advisory services to nonprofits, social enterprises, and purpose-driven organizations, primarily in Colombia. Our current service offerings are:

Service availability is subject to advisor capacity. We primarily serve organizations in Colombia, though we may work with organizations based elsewhere at our discretion.

5. Intellectual Property

All content on our website — including text, design, and structure — is the property of Muisca or its licensors and is protected by applicable Colombian intellectual property law.

Written deliverables produced during advisory engagements (such as mission summaries, funding plans, and roadmaps) are provided to the client for their unrestricted organizational use. Muisca retains no ownership claim over deliverables once delivered and paid for.

You may not reproduce, distribute, or commercially exploit website content without our written permission.

6. Payment Terms

All prices are denominated in Colombian Pesos (COP) and are inclusive of applicable taxes where required. Payment is due as specified in the written scope agreement for each engagement. For the Sustainability Companion, monthly fees are invoiced at the start of each month.

We accept bank transfer and other payment methods confirmed in writing at the time of engagement. Engagement commencement is subject to receipt of the first payment.

Our advisory services represent professional opinion and guidance based on the information available to us at the time of an engagement. We do not and cannot make commitments about specific outcomes — including but not limited to funding success, organizational growth, or financial performance.

Our website is provided "as is." We make no warranty that the website will be available at all times or free from errors.

Nothing in our advisory services constitutes legal, financial, or accounting advice. Where such advice is needed, we recommend engaging qualified professionals.

9. Limitation of Liability

To the extent permitted by Colombian law, Muisca's total liability to a client for any claim arising from an engagement shall not exceed the total fees paid for that engagement in the three months preceding the claim.

We are not liable for any indirect, incidental, or consequential loss — including lost funding, revenue, or opportunity — arising from your use of our services or website.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Colombian law.

10. Force Majeure

Neither party is liable for delays or failures in performance caused by circumstances outside their reasonable control, including natural disasters, public health emergencies, internet outages, or changes in applicable law. We will notify you promptly and work to reschedule or adapt the engagement.

11. Termination

Either party may terminate an engagement at any time by written notice, subject to the cancellation terms in Section 6. On termination, all outstanding fees for work completed become immediately due. Sections covering confidentiality, intellectual property, disclaimers, limitation of liability, and governing law survive termination.

12. Dispute Resolution

These Terms are governed by the laws of the Republic of Colombia. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to the jurisdiction of the civil courts of Bogotá D.C., Colombia.

We may update these Terms periodically. When we do, we will revise the "Last Updated" date. For active clients, we will notify you by email of any material changes. Continued engagement with our services after changes become effective constitutes acceptance of the updated Terms.
