1. Definitions
- "Muisca," "we," "us," or "our" — the consulting practice operating under the name Muisca, based in Bogotá, Colombia
- "You" or "Client" — any individual or organization that uses our website, contacts us, or engages us for advisory services
- "Services" — the advisory engagements described on our website: the Mission Clarity Session, Sustainability Companion, and Impact Study
- "Agreement" — these Terms & Conditions, together with any written scope agreement or engagement letter
- "Website" — our website accessible at muiscar.blog
2. Acceptance of Terms
By accessing our website or submitting a contact form, you confirm that you have read and agree to these Terms. By proceeding with an advisory engagement after receiving a written scope agreement, you are entering into a binding contract with Muisca under these Terms.
Use of our website and services is limited to individuals who are 18 years of age or older and have the legal capacity to enter into agreements.
3. Description of Services
Muisca offers business advisory services to nonprofits, social enterprises, and purpose-driven organizations, primarily in Colombia. Our current service offerings are:
- Mission Clarity Session — a one-session engagement producing a written mission summary and one follow-up call · $118.000 COP
- Sustainability Companion — a three-month engagement with monthly sessions and a shared funding and delivery plan · $196.000 COP per month
- Impact Study — a five-week assessment producing a prioritized growth roadmap · $308.000 COP
Service availability is subject to advisor capacity. We primarily serve organizations in Colombia, though we may work with organizations based elsewhere at our discretion.
4. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications with us
- Not use our website for any unlawful purpose or in any way that disrupts its operation
- Not attempt to access systems or data beyond what is intended for website visitors
- Treat Muisca advisors with respect in all communications
- Inform us promptly of any changes in organizational information relevant to an ongoing engagement
5. Intellectual Property
All content on our website — including text, design, and structure — is the property of Muisca or its licensors and is protected by applicable Colombian intellectual property law.
Written deliverables produced during advisory engagements (such as mission summaries, funding plans, and roadmaps) are provided to the client for their unrestricted organizational use. Muisca retains no ownership claim over deliverables once delivered and paid for.
You may not reproduce, distribute, or commercially exploit website content without our written permission.
6. Payment Terms
All prices are denominated in Colombian Pesos (COP) and are inclusive of applicable taxes where required. Payment is due as specified in the written scope agreement for each engagement. For the Sustainability Companion, monthly fees are invoiced at the start of each month.
We accept bank transfer and other payment methods confirmed in writing at the time of engagement. Engagement commencement is subject to receipt of the first payment.
6.1 Cancellation and Refund Policy
- Mission Clarity Session: If cancelled more than 48 hours before the scheduled session, the full fee is refunded. Cancellations within 48 hours are non-refundable, though we will offer one opportunity to reschedule at no cost.
- Sustainability Companion: Either party may end the engagement at the end of any month with 14 days' written notice. Fees for the current month are non-refundable.
- Impact Study: If cancelled before the first working session, the full fee is refunded. No refund is available once work has commenced.
7. Advisory Services — Specific Terms
Our advisory services are professional in nature. The following terms apply to all engagements:
- We will provide services with reasonable care and skill by advisors with relevant experience
- All sessions are conducted in person in Bogotá or by video call, as agreed
- Written outputs will be delivered in the language agreed at the start of the engagement (Spanish or English)
- We will maintain confidentiality of all organizational information shared during engagements, as formalized in our confidentiality agreement
- Scope changes beyond what is described in the written agreement require written consent from both parties
- We will respond to messages from active clients within two working days
8. Disclaimers
Our advisory services represent professional opinion and guidance based on the information available to us at the time of an engagement. We do not and cannot make commitments about specific outcomes — including but not limited to funding success, organizational growth, or financial performance.
Our website is provided "as is." We make no warranty that the website will be available at all times or free from errors.
Nothing in our advisory services constitutes legal, financial, or accounting advice. Where such advice is needed, we recommend engaging qualified professionals.
9. Limitation of Liability
To the extent permitted by Colombian law, Muisca's total liability to a client for any claim arising from an engagement shall not exceed the total fees paid for that engagement in the three months preceding the claim.
We are not liable for any indirect, incidental, or consequential loss — including lost funding, revenue, or opportunity — arising from your use of our services or website.
Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Colombian law.
10. Force Majeure
Neither party is liable for delays or failures in performance caused by circumstances outside their reasonable control, including natural disasters, public health emergencies, internet outages, or changes in applicable law. We will notify you promptly and work to reschedule or adapt the engagement.
11. Termination
Either party may terminate an engagement at any time by written notice, subject to the cancellation terms in Section 6. On termination, all outstanding fees for work completed become immediately due. Sections covering confidentiality, intellectual property, disclaimers, limitation of liability, and governing law survive termination.
12. Dispute Resolution
These Terms are governed by the laws of the Republic of Colombia. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to the jurisdiction of the civil courts of Bogotá D.C., Colombia.
13. General Provisions
- Entire agreement: These Terms, together with any written scope agreement, constitute the entire agreement between us for the relevant engagement
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in effect
- No waiver: Failure to enforce any provision of these Terms does not constitute a waiver
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent
- Notices: Formal notices should be sent by email to [email protected] or by post to our Bogotá address
14. Changes to These Terms
We may update these Terms periodically. When we do, we will revise the "Last Updated" date. For active clients, we will notify you by email of any material changes. Continued engagement with our services after changes become effective constitutes acceptance of the updated Terms.
